Vendor contracts

Colleagues:

I am in the process of bringing up our college's web site.  Our 
site is being hosted by an outside vendor. 

 What advice can you give me on the elements to include in our
contract with the vendor?  The major one that concerns me is file 
ownership and copyright, but I know there are others.  Any 
suggestions?
